This corporate form was introduced into U.S. law beginning in 2010, with advocacy support from organizations such as B Lab, as an alternative to traditional C-Corporations that are legally bound by shareholder primacy—where maximizing shareholder profit is the law.

Public Benefit Corporations are legally bound to their bylaws and public benefit purpose regardless of who is running the company. In many ways, these bylaws function like a constitution for a business, ensuring long-term mission protection beyond any single leadership team.

This structure sits at the core of a growing ethical business movement. Companies such as Patagonia, Ben & Jerry's, and Dr. Bronner's were among the earliest and most visible adopters of this approach, demonstrating that values-driven businesses can scale without abandoning their principles.

BYLAWS

A Constitution-Style Governance Framework for a Public Benefit Corporation

PREAMBLE

We, the artists, listeners, builders, and stewards of Juniper Stream, in order to cultivate a fair and ethical music ecosystem; to protect human creativity; to champion independent culture; to ensure transparency, dignity, and equitable compensation; and to safeguard artistic expression for generations to come, do hereby establish these Bylaws for Juniper Stream Inc., a Public Benefit Corporation.

ARTICLE I — PURPOSE & PUBLIC BENEFIT

Section 1.1 — Corporate Purpose

Juniper Stream Inc. exists to support fair compensation and long-term sustainability for human recording artists, bands, independent labels, and record stores by operating a music streaming platform that allocates revenue based on listener time, integrates technology that protects creative works from AI misuse, and connects digital listeners with physical vinyl retailers.

Section 1.2 — Public Benefit Commitment

As a Public Benefit Corporation, Juniper Stream shall consider the effects of its actions on:

  • Artists and their creative livelihoods
  • Listeners and cultural communities
  • Employees and collaborators
  • Independent record stores
  • The environment
  • Society at large
Section 1.3 — Protection of Human Creativity

The corporation shall maintain policies and technological systems to:

  • Prevent AI replication of artists' works
  • Detect AI-generated music uploads
  • Ensure the platform remains free of unauthorized or undisclosed AI-produced content

ARTICLE II — GOVERNANCE & STEWARDSHIP

Section 2.1 — Duty of Stewardship

All directors, officers, and future leaders are bound to uphold the founding mission and values of Juniper Stream, regardless of changes in leadership or ownership.

Section 2.2 — The Juniper Council

The Juniper Council is a group of trusted founders, thinkers, creators, and advisors who guide Juniper's core direction. Responsibilities include reviewing and approving the founding bylaws, serving as custodians of the company's mission, and documenting or advising on governance concerns as they arise.

Initial membership consists of:

  • Eagle Johnson (Founder)
Section 2.3 — Board of Stewards

Juniper shall maintain a Board of Stewards consisting of:

  • Artists
  • Music industry representatives
  • Ethical technology advisors
  • Public benefit advocates
  • Community stakeholders

The Board of Stewards advises and guides mission-driven decisions.

Section 2.4 — Board of Directors

The legal Board of Directors shall govern in accordance with:

  • These bylaws
  • Delaware Public Benefit Corporation statutes
  • The Juniper Charter (once adopted)

Directors must balance financial, ethical, cultural, and public benefit considerations.

ARTICLE III — ARTIST RIGHTS & PARTICIPATION

Section 3.1 — Artist Bill of Rights

Every artist on Juniper is entitled to:

  1. Fair and transparent compensation
  2. Clear reporting on listening time and revenue allocation
  3. Protection from AI misuse
  4. Ownership and control of their catalog
  5. The right to remove their catalog
  6. Participation in non-binding advisory votes on cultural or policy questions
Section 3.2 — Advisory Votes

Artists may participate in non-binding advisory votes on:

  • Ethical policy changes
  • Community guidelines
  • Platform cultural initiatives

ARTICLE IV — ETHICS, TRANSPARENCY & TECHNOLOGY

Section 4.1 — Transparency Requirements

Juniper shall publish regular transparency reports including:

  • AI usage and detection policies
  • Royalty allocation summaries
  • Public benefit outcomes
  • Environmental impact considerations
  • Governance actions
Section 4.2 — Anti-Exploitation Standards

The corporation shall uphold:

  • No payola
  • No algorithmic discrimination
  • No artificial playlist manipulation
  • No deceptive content inflation
  • No exploitation of artists or communities
Section 4.3 — Data Privacy Commitment

Juniper shall collect only the minimum data required to deliver the service and shall never sell user data.

ARTICLE V — LEADERSHIP REQUIREMENTS

Section 5.1 — Mission Fidelity Clause

All leaders must commit to:

  • Fair compensation
  • Ethical technology
  • Human creativity
  • Stakeholder values
  • The public benefit mission
Section 5.2 — Successor Principles

Successors shall be selected based on:

  • Mission alignment
  • Ethical track record
  • Independence from undue influence
  • Commitment to stakeholder governance
Section 5.3 — Conflict of Interest

Directors and officers must disclose conflicts and abstain where necessary.

ARTICLE VI — AMENDMENTS

Section 6.1 — Who May Propose Amendments

Amendments may be proposed by:

  • The Board of Directors
  • The Board of Stewards
  • The Juniper Council
  • A petition of at least 10% of participating artists
Section 6.2 — Ratification

Amendments require:

  • Approval by two-thirds (⅔) of the Board of Directors
  • Approval by a majority of the Board of Stewards
  • Public posting with explanation
Section 6.3 — Mission Protection Clause

No amendment may:

  • Weaken the Public Benefit purpose
  • Remove stakeholder obligations
  • Permit exploitative practices
  • Allow undisclosed AI-generated content

ARTICLE VII — MISCELLANEOUS PROVISIONS

Section 7.1 — Non-Discrimination

Juniper shall not discriminate based on race, gender, orientation, nationality, beliefs, or artistic identity.

Section 7.2 — Environmental Commitment

Juniper shall minimize environmental impact in its operations.

Section 7.3 — Dissolution Clause

If dissolved, remaining assets shall be directed toward the public benefit mission or aligned nonprofits.
