Juniper Stream — Intellectual Property (IP) Upload Agreement

1. Copyright & Ownership Requirements

By uploading any music, audio recordings, artwork, images, metadata, or written materials ("Content") to Juniper Stream, you ("Uploader") represent and warrant that:

1. You own or control all rights necessary to upload, distribute, and stream the Content.
2. No part of the Content infringes on the copyright, trademark, moral rights, or publicity rights of any third party.
3. You have secured all required permissions from producers, performers, songwriters, publishers, session musicians, photographers, designers, and any contributors involved in the Content.
4. The Content does not contain:
   • Unauthorized samples
   • Unlicensed stems
   • AI-generated vocals or instrumentation
   • AI-generated artwork without disclosure and approval
5. You accept full responsibility for any copyright claims, disputes, or legal actions arising from the Content.

Juniper Stream complies fully with the DMCA. Copyright takedown notices will be handled promptly.

2. Human-Made Content Requirement

Juniper Stream is exclusively a platform for human-made music.

By uploading, you confirm that:

1. Your music, vocals, and performance elements were created by human artists.
2. No generative AI system (including but not limited to: Suno, Udio, ChatGPT voice models, Stable Audio, etc.) created any portion of the musical composition, vocals, melodies, harmonies, lyrics, instrumentation, or arrangements.
3. AI tools used for non-creative enhancement (e.g., cleanup, mastering assistance, noise reduction) are allowed.
4. You understand that Juniper may use AI-detection services to validate authenticity.

Juniper may:

• Request additional verification
• Reject uploads
• Remove material that violates the Human-Made policy

This policy exists to protect human artistic labor and maintain platform integrity.

3. License Granted to Juniper

You retain full and exclusive copyright ownership of all Content you submit.

By uploading Content to Juniper Stream, you grant Juniper Stream Public Benefit Corporation ("Juniper") a non-exclusive, fully revocable, worldwide license to:

A. Stream & Distribute

• Stream, transmit, and make the Content available through Juniper's apps and services.

B. Display Related Materials

• Display your album artwork, artist photos, metadata, credits, lyrics (if provided), and biographical information in connection with your music.

C. Use Within the Platform

Use approved materials within:

• The Juniper interface
• Editorial recommendations
• Human-curated playlists
• Search and discovery features
• Artist pages and genre pages

D. Non-Paid Promotional Use

Your music may be featured in non-paid promotional contexts such as:

• In-app highlights
• "New on Juniper" posts
• Artist spotlights
• Social media announcements that your music is now on Juniper

(These uses do not modify or commercialize your recordings.)

Juniper Will Never:

• Sell your Content
• Sublicense your Content outside Juniper
• License your music for film/TV/sync without permission
• Monetize your masters outside the platform
• Claim ownership of your recordings or compositions

Your music remains entirely yours.

4. Content Removal & Takedown

You may request removal of your Content at any time.

Juniper may remove Content if:

• A copyright claim is received
• The content appears AI-generated
• Metadata is fraudulent or misleading
• It violates community rules
• Required by law or court order

5. Indemnification

You agree to indemnify and hold harmless Juniper Stream PBC, its officers, employees, contractors, and partners from any claim, damage, loss, or legal action arising from:

• Copyright infringement
• Trademark or publicity rights violations
• AI-generated content violations
• Fraudulent or misrepresented submissions
• Contractual disputes with collaborators

This protects Juniper from liability connected to uploader misconduct.

6. No Transfer of Ownership

Nothing in this Agreement:

• Transfers copyright ownership
• Creates an exclusive distribution relationship
• Assigns master or publishing rights to Juniper
• Prevents you from distributing your music elsewhere (Spotify, Apple, Bandcamp, etc.)

All rights remain with you, the creator or rightsholder.

7. Verification & Moderation

Juniper reserves the right to:

• Validate identity and authorship
• Request proof of rights ownership
• Use AI-detection tools to verify human-made content
• Require documentation for label or management submissions
• Reject or ban uploaders who violate these terms

8. Agreement Acceptance

By uploading any Content to Juniper — including via `/helm`, Captain's Helm, mobile app submissions, API delivery, or manual delivery — you affirm that:

• You have read and understand this Agreement
• You have legal authority to grant the required rights
• You accept all terms outlined above

This Agreement ensures Juniper Stream remains a safe, ethical, artist-first platform aligned with its Public Benefit Corporation mission.
